Infectious Off-Road, Inc.

Infectious Off-Road, Inc., otherwise referred to as Infectious Off-Road, Infectious, or IOR, has no defined offices or corporate headquarters. All correspondence will be mailed to the home address of the Executive Secretary.

To maintain an off-road vehicle club, whose membership shares a common interest in outdoor activities and the interaction between like-minded people. We encourage all members to be responsible off-road enthusiasts and to share their enjoyment of these activities with others. Through the use of the website, trail runs, and social gatherings, Infectious Off-Road hopes to promote friendship and exchange knowledge between its members and forum users.

No part of the net earnings of the Club shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered and make payments and distributions in furtherance of the purposes set forth in Article II. No substantial part of the activities of Infectious Off-Road shall be the participation in, or intervention in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these bylaws, Infectious Off-road shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income tax under Section 501(c) (7) of the Internal Revenue Code.

SECTION 1. Membership shall focus on, but not be limited to, the vehicles defined in Article VII.
SECTION 2. Membership shall be made in 3 classes; Full Members, Associate Members, and Honorary Members.
A) Full Membership requires that the member pay a yearly due. A Full Membership entitles the member to vote in club elections or business and hold any elected or appointed positions. In addition, a club decal will be provided for placement on their off-road vehicle to identify membership in the club. Full Members are also referred to as “the infected”.
B) Associate Members are not required to pay a membership due. Associate Members will not be entitled to vote in club elections or club business. Associate members will have the option to purchase club decals. Associate Members are expected to have at least minimal participation in club activities.
C) Honorary Members are given membership by majority vote. They pay no dues, have no voting rights, and have no expected participation in the club.
SECTION 3. Application for membership must be made through information provided on the Infectious Off-Road website. Membership dues will be collected by the Secretary at Monthly meet & greets.
SECTION 4. Honorary Membership may be granted to an individual though majority vote of participating full members.
SECTION 5. Race, religion, national origin, gender, sexual orientation, age, or political belief shall not limit membership qualification.
SECTION 6. Members shall notify the Executive Secretary of any change of mailing address.
SECTION 7. Infectious Off-Road, Inc. may deny membership to any person for reasons that are not in violation of any local, state, or federal law.

SECTION 1. Conduct that is severely or consistently a detriment to the purpose and enjoyment of this club shall be cause for termination, suspension of membership, or limited use or suspension from the on-line forum.
SECTION 2. Membership may be terminated or suspended upon a majority vote of Full Members, for reasons that do not violate discrimination laws.
A) Members shall be notified by Email of their suspension or termination. The member shall be given a reasonable opportunity to be heard by the club membership. After hearing the member, any vote shall be final.
SECTION 3. Membership dues are non-refundable upon membership termination.

SECTION I. Full Membership is $50.00 per year.
SECTION 2. Member dues will be due after December 1st and before February 1st of each year. If someone becomes a new member after February 1st, new membership dues will be pro-rated at $5 per month for the remainder of the year.
SECTION 3. All dues collected shall be collected by the Executive Secretary. The Executive Secretary shall record the information. The Secretary will be available monthly at the club Meet & Greets.
SECTION 4. All dues shall be paid by check or money order, made payable to 'Infectious Off-Road'. All due amounts are in United States Currency.
SECTION 5. Members whose dues are thirty (30) days past due (March 1st) shall be reclassified as an associate member and have their Full Member privileges revoked until current dues paid. Full membership with be restored once current and past-due payments are submitted to the Executive Secretary.
SECTION 6. Changes in dues shall be brought for consideration by a motion of Full members, and brought to a vote if that motion is carried. A change in dues will not be enacted until January 1st of the next year.
SECTION 7. Associate and Honorary Membership shall require no dues.

SECTION 1. Membership in Infectious-Off-road shall be focused on Off-Road vehicles.

SECTION 1. Executive Board Meeting:
The Executive Board shall meet within the first three- (3) months of their term, and any time they are required to vote. The Executive Board shall schedule the meeting at a time and location that is agreeable to all board members.
SECTION 2. Special Full Members Forum:
As part of the general IOR forum, a special board forum has been created specifically for full paid members of Infectious Off-road. It is to be used for the discussion of club business and for the interaction of the club’s members. Access to voting on club business within this special forum board will be limited to Full Members only.
A) Election notices and Nominations will be posted in this special forum, and access will only be granted to Full Members.
B) Motions for consideration by the Executive board will be posted in this forum. The motion must be made by a paid member and then seconded by the same, to be carried. Once carried, the issue will be addressed.
C) Informational posts or queries by the Executive board that require input from the entire membership will be posted here also.
SECTION 3. Elections:
A) An election for the Executive board members, with exception of the President, shall take place bi-annually. The election shall be held during the month of November, in the year proceeding the new terms. Voting shall begin on the 1st of the month and terminate on the 30th.
B) Nominations shall be made by Full members in the Members forum. The nomination must be seconded by another paid member and accepted by the nominee before it becomes official. Current executive members will disclose to the nominees all of the required duties of the position on request, so that nominees have full knowledge of the scope of work involved with holding the position.
C) The Election notices, motions and candidate nominations will be posted in the Members forum. All Full Members will have access to this Forum and associate members will not. This should be the sole forum for these types of posts and election related subject matter, so that associate members and the general public will not have any influence over material posted in it.
D) Election results must be posted by the 10th of December in the Members forum. All results must be disclosed and made public to all of the membership.
E) The terms of the newly elected Executive board shall begin on January 1st of the new term year and continue for two (2) calendar years.
SECTION 4. Voting Of Members:
A) Voting - Each Full Member shall have one vote on each and every matter submitted to a vote of the Members. Associate Members shall have no voting rights. All actions except as otherwise provided by law or the bylaws shall be by majority of those Regular Members present and voting. All individual votes will be electronically tallied on the forum, by the forum software. The results of all of these votes shall be recorded into written record by the Executive Secretary.

SECTION 1. Board of Trustees:
A) A Board of Trustees shall manage Infectious Off-Road, Inc.
B) The Board of Trustees shall be known as the Executive Board and shall establish the policies of the Club. They shall oversee and direct the implementation and execution of such policies and the administration of the affairs of the Club by the Executive Board.
SECTION 2. Executive Board:
A) The Executive Board shall consist of the President, Executive Secretary, Chief Financial Officer, and Public Relations Officer.
B) The Full Members of the club shall elect the Secretary, CFO, and PRO for a term of two (2) years. There shall be no limit to the number of terms they may serve. The President will serve as a permanent member of the Executive Board, only relinquishing that position by choice. If the current president, who is also club founder, decides to quit their position on the Executive Board, a new President will be elected by Full Members and will serve two (2) year terms under the same rules as the other members of the Executive Board.
C) Each Executive Board Member shall have one (1) vote. Executive Board Members may hold other club positions but shall only hold one Executive Board position.
D) Executive board members may also hold an Area representative’s position, but this does not entitle them to additional voting privileges.
E) All members of the Executive Board shall be twenty-one (21) years of age or older.
F) If an executive board member resigns, is incarcerated for longer than 3 months, or is physically or mentally unable to fulfill their duties as a Board Member, a replacement board member will be elected by the Executive Board to take their place for the remainder of that term.
SECTION 3. Area Representatives:
A) The regions of membership can be broken down into geographical areas, for the purpose of making club interaction easier.
B) The Area Representatives shall be voted on by the Regular Members of the region within each area. Each area shall have no more than 1 representative. Only Regular Members can be elected as a Regional Representative.
C) The term of office for Area Representatives shall be two (2) years. There shall be no limit to the number of terms they may serve. Any Area Representative that moves out of his/her area shall resign their position. The Executive Board shall act as Area representative to areas without representation until a Representative is elected.
D) Area Representatives will be responsible for working with both the members in their regions and the Executive board to plan events, distribute information, and secure sponsorship for these events. The individual regions may act independently, but as a voice of Infectious Off-Road, to secure funds, prizes or other incentives from our sponsors for their regional events. This may be done with the understanding that all information on particular events will be submitted to the Executive board for final approval, as well as insuring that all club guidelines are met.
SECTION 4. Conflicts:
No officer may participate in, or attempt to influence any decision by the club affecting his/her own personal business interests, or otherwise use his or her official position for personal gain. All of the elected officials are answerable to the membership and their sole purpose is to serve the best interests of the club.

SECTION 1. President - The President's role on the Executive Board will be to guide the board by setting an example for the membership and participating in events. It shall be his/her duty to carry on all correspondence that should come to his/her attention and to maintain contact with the Executive Board and the Members. The president will ensure that a forum is maintained to conduct club business in.
SECTION 2. Secretary - he/she shall take the place of the President in his/her absence. He/she shall perform all duties of the office of Secretary, and such other duties assigned by the President. He/she shall maintain contact with the Executive Board.. It shall be his/her duty to carry on all correspondence that should come to his/her attention. He/she shall maintain records of membership. He/she shall maintain the club’s physical address and oversee the incoming mail for the organization. A filing system to track membership information and club records must be in place and constantly updated. The Executive secretary will insure that the business of the club is handled properly and in a legal manner. It shall be his/her duty to carry on all correspondence that should come to his/her attention. The Secretary must maintain the financial records of the Infectious Off-Road, in accordance with all applicable State and Federal laws.
SECTION 4. Chief Financial Officer – The CFO shall coordinate all fundraising activities, and ensure that event activities are within budget and that the Secretary receives all required receipts. The CFO shall notify any members who are thirty (30) days past due on their membership dues. He/she shall notify the member by email that their member classification is being downgraded to an 'Associate Member' class. He/she shall be in charge moderating the club’s website forum. He/she shall moderate the website activities and insure the constant upgrading of the site.
SECTION 7. Public Relations Officer – His/her duties will consist of securing and distributing club merchandise, such as hats, t-shits, decals, and other items to distribute to club members. The PRO will also handle advertizing and marketing of the club with the intention of growing membership. The Executive Board will provide funding for all approved purchases. The PRO will also welcome new members into the club and introduce them to other members.
SECTION 6. Area Representatives - he/she shall be the voice for the members in their area. Representatives will be responsible for working with both the members in their region and the Executive board to plan events, distribute information and secure sponsorship for these events. The individual regions may act independently to secure funds, prizes, or other incentives from our sponsors for their regional events. This will be done with the understanding that all information on particular events will be submitted to a member of the Executive board for final approval, as well as insuring that all club guidelines are met.

SECTION 1. Infectious Off-Road, Inc. shall conduct most of its communications through the website at It is the member’s responsibility to stay informed with club activities through this website.
SECTION 2. The use of the website shall be in compliance with the board rules/guidelines. Misuse of the forums may result in suspension from the board.
SECTION 3. shall be used to represent Infectious Off-Road, Inc..
SECTION 4. Sending Spam through forum email is prohibited. Commercial advertisements or solicitations must be pre-approved by the Executive board.

Only a majority vote of the voting population of Infectious Off-Road, Inc. may enforce the removal of an officer of the Executive Board, on grounds of detrimental conduct to the office. These grounds must clearly be consistent with these by-laws, and not simply the result of a vengeful action by a small number of disgruntled members. The affected officer must be given a chance to plea his side on the forum before the vote commences. If the Executive officer is removed, a replacement will be voted upon immediately.

Any full member may propose a change in the by-laws. A majority vote of the Club Board of Directors shall be required to make a change. A notice of any by-law change shall be posted in the Members Forum. Changes in the by-laws shall be effective immediately upon passage.

In the event of dissolution of this club, all assets not required by law to be distributable among the members in good standing at the time of dissolution shall be distributed in a manner voted upon by the remaining Full Members of Infectious Off-Road. The Club Founder, GJ Lusich, has final say in all matters concerning the continued use of Infectious Off-Road, Inc. in the event of dissolution.
